Summary: Blackrack sets up and maintains self-hosting infrastructure on your own server. Your data lives in volumes that belong to you. This agreement defines our mutual commitments: what we guarantee, what is expected of you, and how billing and cancellation work.

📄 1. Scope

These Terms of Service govern access to and use of the self-hosting infrastructure services offered by Blackrack, operated by USER TODO (sole proprietor / persona natural), based in Colombia.

The service includes the configuration, deployment, and ongoing maintenance of the selected AI-agent stack on managed infrastructure for the client:

The agreement is formalized when the client accepts these terms and makes the first payment for the selected plan.

🛠️ 2. Provider obligations

Blackrack commits to meeting the following service standards:

Initial setup The client's gateway will be deployed and operational within 48 hours of confirmation of the initial payment, on business days.
Uptime (SLA) Blackrack guarantees 99% monthly uptime for client gateway services. Scheduled maintenance downtime will be notified at least 24 hours in advance.
Automatic backups We will perform encrypted backups of client volumes to S3 with 90-day retention, expiring at 365 days.
Technical support Incidents reported via WhatsApp or email will receive an initial response within 24 hours on business days.

The 99% monthly SLA equates to a maximum of approximately 7.3 hours of unplanned downtime per month. It does not apply to interruptions caused by third parties (cloud providers, client's internet, power outages) or force majeure events.

3. Client obligations

By contracting Blackrack services, the client agrees to:

Personal use Not resell, sublicense, or offer to third parties the accesses or capabilities of the contracted gateway without prior written authorization from Blackrack.
Legal content Not store, transmit, or process illegal content, including material that infringes copyrights, intellectual property, or is prohibited by Colombian or international law.
Payment maintenance Keep monthly plan payments up to date. A delay of more than 7 calendar days may result in temporary suspension of the service.
Acceptable use Not use the infrastructure for spam, cyberattacks, cryptocurrency mining, or other activities that degrade the service or violate third-party rights.
Contact information Maintain an active communication channel (WhatsApp or email) to receive maintenance and incident notifications.

Serious and repeated breach of these obligations may result in termination of the agreement by Blackrack, with 15 days prior notice.

💳 4. Pricing & billing

Blackrack services are provided under a monthly subscription with the following conditions:

Billing cycle Monthly, payable in advance. The renewal date is the same day of the month as the first payment.
Payment methods (Colombia) Nequi, Bancolombia (PSE transfer or savings/checking account), and Wise (international wire transfer).
International payments (EU/UK and others) For customers outside Colombia, payment is currently accepted via Wise (international bank transfer). Colombian customers may also pay via Nequi, Bancolombia, or PSE. Prices are denominated in USD; local-currency amounts shown on the pricing page are indicative. Each customer is responsible for any taxes (such as VAT) applicable in their own jurisdiction.
Plan changes Upgrades or downgrades take effect at the start of the next billing cycle. Notify at least 5 days before your renewal date.
Price adjustments Blackrack reserves the right to adjust prices with a minimum notice of 30 days before the change takes effect.

Payments are non-refundable except in cases of SLA breach by Blackrack, in which case a pro-rated credit will be applied for the excess downtime.

🔚 5. Cancellation

Either party may cancel the agreement with 30 calendar days advance notice.

Cancellation notice The client must notify their intent to cancel in writing (email or WhatsApp) at least 30 days before the next renewal date.
Grace period The service will remain active until the end of the billing cycle current at the time of the cancellation request.
Data return Within 15 calendar days of the effective cancellation date, Blackrack will make a compressed archive of the client's data (PVC backup) available for download, or will permanently delete it per the client's instructions.
Data deletion If the client does not download their data within the 15-day window, Blackrack will proceed with irreversible deletion of all volumes and backups associated with the client.
Termination for cause Blackrack may cancel the service immediately in cases of illegal use, fraud, or serious breach of client obligations, with no right to a refund.

↩️ 6. Right of withdrawal (EU/EEA consumers)

If you are a consumer resident in the European Union or European Economic Area (EEA), you have a 14-calendar-day right of withdrawal (cooling-off) from the conclusion of the contract, under Directive 2011/83/EU on consumer rights, without giving any reason and without penalty.

  • To exercise it, send an unequivocal statement to legal@blackrack.app within 14 calendar days of contracting.
  • We will refund all payments received without undue delay and no later than 14 days after receiving your withdrawal request.
  • Early start of service: if you expressly request that we begin deployment during the withdrawal period, you acknowledge that you lose the right of withdrawal once the service has been fully performed, and that you may be charged proportionally for the service already supplied.

⚖️ 7. Limitation of liability

Blackrack services are provided "as-is" at the infrastructure layer, with the following clarifications:

Infrastructure layer Blackrack is responsible for the availability, security, and correct operation of the client gateway's containers, volumes, and network, per the SLA commitments.
Client content Data stored in client volumes is the exclusive property and responsibility of the client. Blackrack does not access, review, or bear responsibility for content stored by the client.
Third-party services Blackrack does not guarantee the availability or operation of integrated third-party services (Google, Spotify, etc.). Interruptions to those services do not constitute an SLA breach.
Financial liability cap Blackrack's maximum liability to the client, for any reason, shall not exceed two months of the contracted plan value during the period in which the claim originated.
Indirect damages Blackrack shall not be liable for loss of business, lost profits, consequential damages, or any indirect damages arising from the use of or inability to use the service.

Backups as a safety net: Automatic backups are designed to protect against technical infrastructure failures. They do not replace the client's responsibility to maintain additional backups of their critical information.

🤖 8. Data, AI & availability

Model training Customer data is never used to train, retrain, or fine-tune AI models, whether Blackrack's or third parties'. Your data lives in your volumes and is processed solely to deliver the service you contracted.
AI providers When an integration sends data to a third-party model provider (e.g. for assistant responses), it does so under settings that exclude that data from training, to the extent the provider supports it. The customer controls which integrations are enabled.
SLA disclaimer The 99% monthly uptime target is a service commitment, not a warranty of uninterrupted operation. The service is provided "as-is" and "as-available"; the sole remedy for an SLA breach is the pro-rated credit described in the pricing clause.

🏛️ 9. Governing law & jurisdiction by region

These Terms are governed by the laws of the Republic of Colombia. However, this choice of law does not deprive consumers of the protection afforded by the mandatory rules of their country of habitual residence. The applicable jurisdiction is determined by the customer's region:

Colombia The contract is governed by Colombian law. Disputes not resolved amicably are submitted to the courts and tribunals of Bogotá D.C., Colombia.
European Union / EEA Colombian law governs the contract, but mandatory EU/EEA consumer rights are not waived (including the right of withdrawal). The consumer may sue and be sued in the courts of their place of habitual residence.
United Kingdom Colombian law governs the contract, without prejudice to the mandatory rights of UK consumers under the UK Consumer Rights Act 2015. The consumer may bring proceedings in the courts of their place of residence.
United States Colombian law governs the contract; applicable non-waivable rights (including privacy rights under the CCPA for California residents) remain in force.

Online Dispute Resolution (EU): EU consumers may use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.

📝 10. Modifications

Blackrack may modify these Terms of Service at any time. For material changes that affect the rights or obligations of either party:

  • The client will be notified at least 30 days in advance by email or WhatsApp.
  • The "Last updated" date at the top of this page will be updated.
  • The client may cancel the service without penalty within the notice period if they do not accept the new terms.

Continued use of the service after the notice period constitutes tacit acceptance of the new terms.

For non-material changes (editorial corrections, wording clarifications), Blackrack reserves the right to update these terms without prior notice.
